Introduction
These Terms and Conditions govern your access to the Vorcas Tech Lab website and any consulting, design, development, and support services we provide. By browsing our site or entering into an engagement with us, you agree to be bound by these terms.
We strive to deliver high‑quality solutions aligned to your business goals. These terms establish the expectations, responsibilities, and boundaries that help both parties collaborate effectively throughout a project lifecycle.
Use of Services
You agree to use our services for lawful purposes and to provide accurate, complete information necessary for planning, execution, and delivery. You are responsible for securing any required approvals, licenses, or third‑party permissions related to your content and data.
We may suspend or limit access if we detect misuse, security risks, or violations of applicable law. We will make reasonable efforts to notify you of any suspension and work with you to resolve the underlying issue.
Quotes and Engagement
Quotes and proposals define the agreed scope, deliverables, assumptions, timeline, and pricing. An engagement starts when you confirm in writing (including email approval) and any agreed deposit is received, if applicable.
Change requests, scope extensions, or new requirements will be assessed and documented. These may affect timelines and costs, and we will provide revised estimates prior to proceeding.
Payments
Unless otherwise stated, payments follow milestone or phased billing. Invoices are due upon receipt. Late payments may pause work, delay delivery, or incur reasonable administrative charges where permitted by law.
All fees are exclusive of taxes, duties, and withholdings unless expressly indicated. Refunds, if any, are handled in good faith based on work completed and non‑recoverable costs.
Refunds
Vorcas Tech Lab does not provide refunds once work has commenced or deliverables have been shared. All payments made toward project milestones, retainers, or services rendered are non‑refundable.
No credit will be issued back to your original payment method. Any exceptions must be agreed to in writing prior to engagement and will be limited to unperformed work at our sole discretion.
Intellectual Property
Upon full and final payment, you own the project‑specific deliverables expressly identified in the engagement documents. Pre‑existing tools, frameworks, templates, or libraries remain the property of their respective owners and are licensed to you as needed to operate the deliverables.
We may retain a non‑exclusive right to reuse general, non‑confidential components, patterns, or know‑how that are not specific to your proprietary information. Third‑party assets are provided subject to their applicable licenses.
Confidentiality
Each party agrees to protect and use the other party’s confidential information solely for the purposes of the engagement. Confidential information includes non‑public business, technical, or financial data disclosed in any medium.
Confidentiality obligations do not apply to information that is public, independently developed without reference to the confidential information, or rightfully obtained from a third party without restriction.
Warranties and Support
We warrant that deliverables will substantially conform to agreed specifications at the time of delivery. During the agreed warranty window, we will address reported defects that are reproducible and within scope.
Beyond the warranty period, we can provide ongoing maintenance and support under a separate agreement with defined service levels, response times, and update policies.
Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages including lost profits or business interruption. Our total liability arising from an engagement is limited to the amounts paid by you for the specific services giving rise to the claim.
Termination
Either party may terminate the engagement for material breach that remains uncured after reasonable written notice. Upon termination, you will pay for work completed and agreed non‑recoverable expenses.
We will cooperate on a professional handover, providing reasonable documentation and access to deliverables produced up to the termination date.
Governing Law
These terms are governed by the laws of Bengaluru, Karnataka, India, without regard to conflict of law principles. Any disputes will be addressed through good‑faith negotiation and, if necessary, resolved in the competent courts of Bengaluru.
